OptiSwift referral programme rules

Courtesy translation. Only the Romanian text is binding: read the original

Version RECOM-1.0 · 11 October 2026

These rules (hereinafter “the Rules”) set out the conditions under which a practice with an OptiSwift subscription recommends OptiSwift to another professional in the optical sector, with both receiving a discount on the subscription price. The version in force is published at www.optiswift.ro/abonament/regulament-recomandare.

Article 1 — The organiser and the nature of the Referral Programme

(1) The OptiSwift referral programme (hereinafter “the Referral Programme”) is organised by OPTISWIFT S.R.L., a limited liability company with its registered office at București, Sectorul 3, Str. Nerva Traian nr. 27-33, Scara B, Etaj 1, Birou 6, registered with the Trade Register under no. J2026055914008 (EUID ROONRC.J2026055914008), CUI 55636472, hereinafter “the Provider”. The Provider can be contacted by email, at contact@optiswift.ro, and by post, at its registered office.

(2) The Rules are a separate contract which supplements the subscription contract concluded under the OptiSwift Subscription Terms and Conditions, published at www.optiswift.ro/abonament/termeni (hereinafter “the Terms”), solely with respect to the price discounts granted under the Rules. In all other respects, the Terms apply. Expressions defined in the Terms, including “Software”, “Practice”, “Administrator”, “location”, “Subscription Period”, “Export-only Mode”, “Data Retrieval Period”, “Practice Account” and “Stripe”, have the same meaning in the Rules.

(3) Participation in the Referral Programme is free and optional. The discounts granted under the Rules are commercial price discounts, which the Provider grants under its own commercial policy. They are not payment for a service: the Referring Practice provides nothing to the Provider, does not represent it, does not negotiate on its behalf and receives no money.

Article 2 — Definitions

In the Rules, the expressions below have the following meanings:

a) “Referring Practice” — the Practice that participates in the Referral Programme under Article 3;

b) “New Practice” — the professional that activates its subscription with the referral code of a Referring Practice, under the conditions of Article 4;

c) “referral code” — the six-character code assigned to the Referring Practice under Article 3(3);

d) “free month” — a reduction of the subscription price for one location, for one month, in the amount set in Article 6(1);

e) “referral credit” — the free months earned by a Practice and not yet used.

Article 3 — Participation of the Referring Practice

(1) A Practice may participate in the Referral Programme if its subscription is in force, is paid through Stripe, has no overdue payment and has not been cancelled (Article 23 of the Terms), and if its account is not suspended and not in Export-only Mode.

(2) The Practice participates by accepting the Rules in the Software, under Settings → Subscription, through the Administrator: the Administrator ticks the box accepting the Rules and, separately, a distinct box, not pre-ticked, which reproduces the list in the Declaration of Express Acceptance at the end of the Rules. As evidence of acceptance, the Provider records the version of the Rules, the date and time of acceptance, the name and email address of the person accepting, the identifier of the account used to accept, the IP address and the identifier of the program or browser used.

(3) After acceptance, the Provider assigns the Practice a referral code and a link of the form www.optiswift.ro/r/<code>, shown under Settings → Subscription and at www.optiswift.ro/cont/recomandari. A Practice has a single referral code, which it passes on under Article 10.

(4) The Practice may withdraw from the Referral Programme at any time, by an email sent to contact@optiswift.ro. From its withdrawal, its code can no longer be used for an activation. Referral credit already earned and the rewards for activations paid before the withdrawal remain, under the conditions of the Rules.

Article 4 — The New Practice

(1) A New Practice is the professional identified by a CUI (Article 4 of the Terms) that activates a subscription paid through Stripe, from the Software or at www.optiswift.ro/cont/activare, and that, on the date of activation, meets all of the following conditions:

a) it is not and has not been a customer of the Provider under that CUI: the Provider has not issued a fiscal invoice to that CUI for another account, has not activated another subscription under that CUI, and the CUI does not appear in the billing details of another Practice; a trial account opened previously does not prevent participation;

b) it is neither the Referring Practice nor a company in the Referring Practice’s OptiSwift account or billing details, and no company of the Referring Practice is in the New Practice’s account;

c) it is not affiliated with the Referring Practice. Two companies are affiliated where one holds, directly or indirectly, at least 25% of the share capital of the other, where the same person holds at least 25% of the share capital of each, or where they have the same director, sole shareholder or owner.

(2) The referral code is entered, before payment, in the “Referral code” field of the activation. Once it is entered, the Software or the activation page shows the name of the Referring Practice, so that it can be confirmed. The code is accepted only if, on that date, the Referring Practice meets the conditions of Article 3(1) and the New Practice those of paragraph (1); otherwise, the code is refused, and the activation can continue without a code. Until the first payment is confirmed, the New Practice may change or remove the code; once the first payment is confirmed, the referral is final. The Referring Practice’s link does not replace the code: its page only explains the steps.

(3) On an activation with a referral code, before payment, the New Practice accepts the Rules by ticking a box and, separately, a distinct box, not pre-ticked, which reproduces the list in the Declaration of Express Acceptance at the end of the Rules. Evidence of acceptance is recorded under Article 3(2).

(4) A CUI may be a New Practice only once.

Article 5 — Rewards

(1) The New Practice receives one free month for each location paid for on activation, up to a maximum of 5 free months. The reward is earned when the first payment is confirmed and is granted as follows:

a) if the New Practice has chosen monthly payment, the free months are used under Article 6, starting with the first renewal, so that the second month of the subscription is free for up to 5 locations;

b) if the New Practice has chosen annual payment, the first payment is reduced by the value of one free month (Article 6(1)) for each location paid for, up to a maximum of 5 locations, so that, for each of them, the first year costs the same as 11 months. The discount is shown on the Stripe payment page before the payment is confirmed.

(2) The Referring Practice receives one free month for each location paid for by the New Practice through the payment in paragraph (3)(a) or, in the case in paragraph (3)(b), through its first payment, up to a maximum of 3 free months per New Practice and of 12 free months granted in the last 365 days, counted on the date of granting. A reward that would exceed the 12-month cap is reduced to the part that fits within it; if the cap has been reached, the referral gives no reward to the Referring Practice.

(3) The Referring Practice’s reward is granted:

a) if the New Practice pays monthly, after the New Practice’s second payment of an amount greater than zero for a Subscription Period, the payment on activation counting as the first; payment for a location added during a Subscription Period (Article 21(2) of the Terms) does not count;

b) if the New Practice pays annually, 30 days after its first payment.

(4) At the time set in paragraph (3), the subscriptions of both Practices must be in force, paid automatically through Stripe (not by bank transfer), with no overdue payment, not cancelled and with no payment disputed with the bank; neither account may be suspended or in Export-only Mode; and the New Practice’s first payment must not have been refunded. If a condition is not met, the Provider waits for up to a further 60 days; if it is still not met by then, the referral gives no reward to the Referring Practice.

(5) The Provider announces by email, to the Practice Account’s address and to the billing address, the reward earned by the New Practice and the reward granted to the Referring Practice.

(6) The Provider may at any time grant all Practices rewards greater than those in paragraphs (1) and (2), or within a shorter period than that in paragraph (3)(b) (Article 12(3)).

Article 6 — Using referral credit

(1) A free month is worth the price of one location for one month, according to the payment plan of the renewal at which it is used: for monthly payment, the monthly price of one location; for annual payment, one twelfth of the annual price of one location, rounded down to the nearest euro cent. The price used is that of the renewal in question (Article 17 of the Terms).

(2) Referral credit is used automatically, only on renewals of the subscription of the Practice that earned it (Article 20 of the Terms) which are paid automatically through Stripe, not on those paid by bank transfer, starting with the next renewal, until the credit is used up. At each renewal, as many free months are used as fit within the renewal amount, starting with those earned earliest; the others are kept for later renewals. If, after the discount, less than €0.50 would remain to be paid, the whole amount is discounted. The discount never brings the amount payable below zero.

(3) Referral credit is not used for locations added during a Subscription Period (Article 21(2) of the Terms), for switching to annual payment (Article 22(1) of the Terms) or for an overdue amount. The exception is the discount in Article 5(1)(b).

(4) The discount appears on the renewal’s Stripe payment document and on the fiscal invoice for the payment (Article 19 of the Terms), as a separate line “Commercial discount – referral programme”; the fiscal invoice is issued for the amount collected. A renewal discounted in full involves no payment, and no fiscal invoice is issued for it (Article 19(1) of the Terms); the Provider keeps a record of it. The discount line does not name the other Practice.

(5) The date of the next renewal and its estimated amount after the discount are shown under Settings → Subscription and at www.optiswift.ro/cont. If a renewal is collected without the discount, for example because the renewal invoice was issued before the discount could be applied, the free months are not lost: they are used at the next renewal, and the Provider notifies the Practice by email. In this case, the amount collected is not refunded.

(6) Referral credit is used only for the subscription of the Practice that earned it. It is not paid out in cash, is not refundable, bears no interest, cannot be assigned or transferred to another Practice and cannot be set off against other amounts.

(7) Unusual clause (Article 1203 of the Civil Code): unused referral credit lapses, without any compensation, at the end of the Data Retrieval Period following the end of the subscription, whatever the reason for its ending, including the termination of the Contract under Article 26 of the Terms; in this respect, the Rules derogate from the second sentence of Article 26(10) of the Terms. If the subscription is resumed before the end of the Data Retrieval Period, the credit remains.

Article 7 — Checking referrals

(1) The Provider automatically checks the conditions in Article 4(1)(a) and (b) and Article 4(4) when the New Practice earns the reward and again when the reward is granted to the Referring Practice, and, on granting, also the conditions in Article 5(4). The condition in Article 4(1)(c) is not checked automatically: a person acting for the Provider checks it, using public registers, when examining a referral under paragraph (2), when there are indications under Article 8(4) or when deciding a challenge under paragraph (3).

(2) Where the New Practice’s CUI cannot be checked automatically, where it is the Provider’s CUI or where a Referring Practice has many referrals within a short period, rewards are granted only after a person acting for the Provider has checked and approved the referral. The discount in Article 5(1)(b), shown and applied at the Stripe payment, remains earned; the check then concerns the Referring Practice’s reward.

(3) The Practice may challenge any decision concerning a reward by writing to contact@optiswift.ro, and may present its point of view. The challenge is examined by a person acting for the Provider, who replies in writing.

Article 8 — Referrals without a reward and cancellation of credit

(1) Referrals that do not meet the conditions of Article 4, referrals made with false data and referrals made in breach of Article 10 give no reward.

(2) Unusual clause (Article 1203 of the Civil Code): if the New Practice’s first payment is refunded, if a payment by the New Practice is disputed with the bank or if it is later found that a condition of Article 4 was not met, the Provider grants none of the remaining rewards for that referral and cancels the unused referral credit earned through it by either of the two Practices.

(3) Free months already used on a payment are not recovered and are not claimed back.

(4) Unusual clause (Article 1203 of the Civil Code): while it investigates indications that a condition of the Rules is not met, the Provider may postpone the rewards for a referral and may suspend the use of a Referring Practice’s code; the decision is taken by a person acting for the Provider, under Article 7.

Article 9 — What the Practices learn about each other

(1) The public page of the link does not show who is making the referral and records nothing about the person who opens it.

(2) By accepting the Rules, the Referring Practice agrees that its name is shown to anyone who enters its code on activation, so that the New Practice can confirm the referral; in this respect, the Rules derogate from Article 32 of the Terms.

(3) The Referring Practice does not learn the name, details, subscription or payments of New Practices. In the Software and at www.optiswift.ro/cont, it sees only the number of referrals that are pending, confirmed or did not meet the conditions, the free months available and the renewal at which they will be used. The Referral Programme’s emails, payment documents and fiscal invoices do not name the other Practice.

Article 10 — Passing on the referral

(1) The Referring Practice passes on the code or the link itself, by its own means, to the persons it chooses. The Provider sends no invitations and does not receive the recipients’ email addresses or telephone numbers.

(2) The Referring Practice is responsible for its messages: it complies with Article 12 of Law no. 506/2004 on the processing of personal data and the protection of privacy in the electronic communications sector, does not send unsolicited bulk commercial messages, does not buy paid advertisements that use the OptiSwift name, logo or website address, including as a search term, and does not present itself as the Provider or as the Provider’s representative.

(3) The Referring Practice makes no promises on behalf of the Provider; what it says about OptiSwift does not bind the Provider.

Article 11 — Personal data

The Provider processes, as controller, the data needed for the Referral Programme (the referral code, the link between the New Practice’s activation and the code used, the New Practice’s CUI, the status of the referral, the referral credit and the discounts applied, and the evidence of acceptance of the Rules) in accordance with the Privacy Policy, published at www.optiswift.ro/confidentialitate.

Article 12 — Amendment, suspension and termination of the Referral Programme

(1) Unusual clause (Article 1203 of the Civil Code): the Provider may amend the Rules or end the Referral Programme by a notice sent by email to the participating Practices, to the Practice Account’s address and to the billing address, at least 30 days before the date on which it applies, and published on www.optiswift.ro. The new version of the Rules receives a new identifier.

(2) An amendment or termination does not affect referral credit earned up to the date on which it applies. A referral for which the New Practice made its first payment before that date is completed under the version of the Rules in force on the date of the first payment.

(3) Changes in the Practices’ favour, such as larger rewards, may apply immediately.

(4) A Practice that does not accept an amendment may withdraw, under Article 3(4), before the date on which the amendment applies.

(5) Unusual clause (Article 1203 of the Civil Code): the Provider may temporarily suspend the Referral Programme, without prior notice, for technical or security reasons or to prevent abuse. During the suspension, no new referrals can be made, and rewards are neither granted nor used; referral credit already earned remains, subject to Article 6(7), and is used once the Referral Programme resumes.

Article 13 — Governing law and competent court

Unusual clause. This article is accepted expressly and separately, through the Declaration of Express Acceptance at the end of the Rules (Article 1203 of the Civil Code).

The Rules are governed by Romanian law. Disputes concerning the Rules are resolved by the court with subject-matter jurisdiction for Sector 3 of the Municipality of Bucharest, in accordance with Article 39(2) of the Terms.

Article 14 — Final provisions

(1) The Rules are concluded and performed in Romanian.

(2) The electronic records of acceptance and email correspondence may be used as evidence, in accordance with Article 40(2) of the Terms.

(3) The Provider keeps each version of the Rules. Each version remains accessible, unchanged, at its permanent address (for example, www.optiswift.ro/abonament/regulament-recomandare/RECOM-1.0), from where it can be saved and printed.

Declaration of express acceptance of unusual clauses

(1) The clauses listed in paragraph (2) are standard clauses which, under Article 1203 of the Civil Code, take effect only if they are expressly accepted in writing. Accepting the Rules as a whole and participating in the Referral Programme do not replace this acceptance.

(2) The Practice declares that it has read and expressly accepts, in writing, the following clauses of the Rules:

  • Article 6(7) — Lapse of unused referral credit, without compensation, at the end of the Data Retrieval Period, including on a change of provider;
  • Article 8(2) — Cancellation of unused referral credit and withholding of rewards when a payment by the New Practice is refunded or disputed, or when a condition was not met;
  • Article 8(4) — Postponement of rewards and suspension of the referral code while a check is carried out;
  • Article 12(1) — Amendment of the Rules and termination of the Referral Programme by the Provider, with 30 days’ notice;
  • Article 12(5) — Temporary suspension of the Referral Programme;
  • Article 13 — Governing law and competent court.

(3) The Practice accepts the Declaration electronically, when accepting the Rules (Article 3(2) and Article 4(3)), separately from its acceptance of the Rules, by ticking a distinct box, not pre-ticked, under which the list in paragraph (2) is reproduced.

(4) A new version of the Rules that amends one of these clauses takes effect for the Practice, with respect to the amended clause, only after a new express acceptance.
